The Site is operated by Two Monkeys LLC, a limited liability company organized under the laws of the State of Wyoming, United States, with offices at 30 N Gould St Ste 1245, Sheridan, WY 82801. References in these Terms to “Two Monkeys”, “we”, “our”, and “us” are references to Two Monkeys LLC and its affiliates as the context requires.

“Two Monkeys”, “Two Monkeys LLC”, the Two Monkeys logo, and any related names, word marks, design marks, slogans, and trade dress are trademarks of Two Monkeys LLC. All other names, logos, product and service names, and trademarks displayed on the Site are the property of their respective owners. Use of any trademark on the Site without prior written permission is prohibited.

12. User submissions and communications

The Site does not require you to create an account. If you choose to send us an email, deal summary, proposal, application, or other communication (a “Submission”), you confirm that:

  • the Submission is yours to send and does not violate the rights of any third party;
  • the Submission is not confidential unless we have agreed in writing that it is;
  • we may use the Submission, and any ideas, concepts, know-how, or techniques contained in it, for any lawful business purpose without compensation or obligation to you, except as required by applicable law.

We do not commit to read, respond to, or evaluate any Submission. Unsolicited Submissions of business plans, deal flow, or similar materials are accepted on these terms.

To the extent any liability cannot be excluded under applicable law, the aggregate liability of Two Monkeys LLC for all claims arising out of or relating to the Site is limited to one hundred United States dollars (US$100).

17. Indemnification

You agree to defend, indemnify, and hold harmless Two Monkeys LLC and its affiliates, members, officers, employees, contractors, agents, and licensors from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to your use of the Site, your Submissions, or your breach of these Terms or any applicable law.

18. Governing law and jurisdiction

These Terms and any dispute or claim arising out of or in connection with them or the Site are governed by the laws of the State of Wyoming, United States, without regard to its conflict-of-laws rules. Any legal proceeding arising out of or relating to these Terms or the Site shall be brought exclusively in the state or federal courts located in Wyoming, and you consent to the personal jurisdiction and venue of those courts.

19. Changes to these Terms

We may update these Terms from time to time. The version posted on the Site is the version in effect. Material changes will be indicated by updating the “Last updated” date at the top of this page. Your continued use of the Site after changes are posted constitutes acceptance of the updated Terms.

20. General provisions

These Terms, together with the Privacy Policy, constitute the entire agreement between you and Two Monkeys LLC regarding the Site and supersede any prior or contemporaneous agreements on the same subject. If any provision of these Terms is held invalid or unenforceable, the remaining provisions will continue in full force and effect. Our failure to enforce any provision is not a waiver of that provision. You may not assign or transfer these Terms without our prior written consent; Two Monkeys may assign these Terms in connection with a merger, acquisition, reorganization, or sale of assets. Headings are for convenience only and do not affect interpretation.
